The National Bank of Greece S.A. (“the Bank”) announces, in accordance with article 14 of Greek Law 3556/2007, that on 23.01.2025 it received a notification from the Hellenic Republic (Ministry of Economy and Finance) regarding the abolition of the private legal entity under the name “Hellenic Financial Stability Fund” ("HFSF"), which directly held 8.39% of the Bank's share capital and voting rights, and its absorption by the company under the name “Hellenic Corporation of Assets and Participations S.A.” (HCAP) according to article 188A of Greek Law 4389/2016, as amended by Greek Law 5131/2024, Ministerial Decision No 195701 EX 2024 (Government Gazette Issue B΄7092/24.12.2024); and the relevant registration on 31.12.2024 in the General Commercial Register (G.E.MΙ.). After the above, the percentage of 8.39% of the share capital and voting rights of the Bank was transferred on 31.12.2024 to HCAP.
Additional Information: The Hellenic Republic is the sole shareholder (100%) of the société anonyme under the name “Hellenic Corporation of Assets and Participations S.A.” which until 31.12.2024 held the entire (100%) share capital of the private legal entity under the name “Hellenic Financial Stability Fund”. Prior to 31.12.2024, the HFSF held directly 8.39% of the share capital and voting rights of the Bank.
On 31.12.2024, the decision of the Minister of Economy and Finance dated 23.12.2024 with No. 195701 EX 2024 (Government Gazette Issue B' 7092/24.12.2024) was registered in the General Commercial Register (G.E.MΙ.) under Registration Number 5215774, whereby the private legal entity under the name “Hellenic Financial Stability Fund” was abolished and absorbed by the société anonyme under the name “Hellenic Corporation of Assets and Participations S.A.” with GEMI No. 140358160000 in accordance with article 188A of Greek Law 4389/2016.
Following the above, the percentage of 8.39% of the Bank's share capital and voting rights, which was held directly by the HFSF, was transferred to the HCAP on 31.12.2024. The total percentage of the Bank's share capital and voting rights controlled by the Hellenic Republic remains unchanged.
